Terms of Service

By accessing this website, enrolling in any program, purchasing any service, or participating in any activity offered by Posey Acting Academy Inc. ("Company"), you agree to be legally bound by these Terms of Service.

If you do not agree to these Terms, you must not use this website or purchase any services.

Posey Acting Academy provides acting-related educational services, including but not limited to:

• In-person acting classes
• Online acting classes and coaching sessions
• Self-tape recording services
• Access to a private online training community
• Educational content, recordings, and materials

The Company reserves the right to modify, update, suspend, or discontinue any service at any time without prior notice.

Posey Acting Academy operates as a platform connecting actors with independent coaches and instructors ("Coaches"). Partner Coaches listed on the platform are independent contractors and are not employees, agents, or representatives of Posey Acting Academy Inc.

By using the platform, you acknowledge and agree that:

• Coaches are independent providers responsible for their own services, availability, scheduling, and quality of instruction.
• The platform facilitates booking, scheduling, and payment processing between students and coaches.
• The platform collects payments on behalf of coaches and retains a commission as compensation for platform services.
• The platform distributes coach earnings via Stripe Connect.
• The Company does not guarantee the quality, accuracy, or outcome of any coaching session.

You must be at least 18 years old to enroll independently.

Minors may only participate with the consent of a parent or legal guardian, who must complete and sign the required Parent/Guardian Agreement.

Participation in any class, session, or program is contingent upon compliance with all Company policies, including execution of the required Participation Agreement.

All participants are required to complete and submit a signed Participation Agreement prior to:

• attending any class
• participating in any session
• accessing the online training portal

Access will not be granted until the completed agreement has been received and verified by the Company.

For transparency, copies of the required agreements are available for review prior to purchase:

Failure or refusal to complete the required agreement may result in denial of access.

All payments are processed securely through Stripe. By purchasing any service or booking any class, you agree to:

• Pay all applicable fees in full at the time of booking.
• Provide accurate and current billing information.
• Authorize the Company to charge your selected payment method.

For partner coach transactions:

• The platform collects the full payment amount from the student.
• A platform commission is automatically deducted from each transaction.
• Coach earnings are distributed to the coach's connected Stripe account.
• Stripe handles payout timing, bank transfers, and verification requirements.
• The Company is not responsible for delays, holds, or verification requirements imposed by Stripe.

By using the platform, you agree to Stripe's Terms of Service and Privacy Policy where applicable.

Certain services are offered as recurring memberships.

By enrolling in a membership, you authorize Posey Acting Academy Inc. to automatically charge your selected payment method on a recurring monthly basis unless otherwise stated.

Memberships will continue until canceled.

You may cancel your membership at any time prior to your next billing cycle to avoid future charges.

The Company may offer a free trial period.

At the end of the trial period, your selected payment method will be automatically charged unless you cancel prior to the end of the trial period.

All payments are generally non-refundable.

However, the Company may review and grant refunds on a case-by-case basis at its sole discretion.

For partner coach bookings:

• Refund requests are handled through the platform.
• Approved refunds may reduce coach earnings accordingly.
• Refund eligibility depends on the specific class or session policy.
• Disputes are handled through the platform's support process.

Coaches using the Posey Acting Academy platform agree to:

• Set their own pricing (subject to platform minimums), schedule, and availability.
• Provide accurate descriptions of their services and qualifications.
• Deliver professional, high-quality instruction.
• Maintain professional conduct with all students.
• Comply with all applicable laws, regulations, and platform policies.
• Connect a valid Stripe account to receive payouts.
• Accept the partner coach terms, the revenue share set forth in the coach's signed Partner Coach Agreement, and the non-solicitation agreement.
• Not solicit or redirect platform-acquired students to conduct business outside of the platform.
• Not provide alternative payment methods or booking links to circumvent the platform.
• Adhere to all pricing minimums established by the Company.

Violation of any of these terms — including solicitation of platform-acquired clients or circumvention of the platform's payment system — will result in immediate removal from the platform, forfeiture of pending earnings, and potential legal action.

The Company reserves the right to remove, suspend, or restrict any coach from the platform at any time, with or without cause.

Students using the platform agree to:

• Follow all class rules and platform guidelines.
• Behave respectfully and professionally toward coaches and other participants.
• Attend scheduled sessions on time.
• Provide accurate account and payment information.
• Not share, redistribute, or record class content without permission.

The Company reserves the right to suspend or terminate any student account for violation of these terms.

The Company does not guarantee make-up sessions for missed classes.

Participants are responsible for attending scheduled sessions on time.

Late arrivals may not be admitted or may miss portions of the class.

Services may be conducted:

• in person
• online via video conferencing platforms (including but not limited to Zoom and Google Meet)
• through recorded or asynchronous content

All Terms of Service apply equally to all formats of participation.

Participants are responsible for ensuring they have appropriate equipment, internet access, and environment for online participation.

The following additional terms apply to partner coaches:

• Coaches are independent contractors, not employees of Posey Acting Academy Inc.
• The platform acts as a facilitator connecting students with coaches.
• The platform retains a commission on all partner coach transactions. The exact revenue share is established in each coach's signed Partner Coach Agreement and may vary based on factors including, but not limited to, whether the coach brings their own students to the platform.
• Payments are processed through Stripe and distributed to coaches via Stripe Connect.
• The platform may suspend or terminate partner coach access for coaches or students at its sole discretion.
• The Company does not guarantee a minimum number of bookings, earnings, or students for any coach.
• All coach offerings are subject to admin review and approval before being published publicly.
• Coaches must maintain a connected Stripe account in good standing to receive payouts and list offerings.

To maintain professional standards and platform quality, coaches must adhere to the following minimum pricing:

• Private Coaching & Self-Tape Sessions: $50 minimum per 30-minute session; $90 minimum per 60-minute session.
• Group Classes (Monthly Memberships): $149 minimum per month.
• Workshops: $50 minimum per session.

The Company reserves the right to reject or remove any offering that does not meet these pricing requirements. Pricing minimums may be updated at any time.

By using the Posey Acting Academy platform, coaches agree to the following non-solicitation and non-circumvention terms:

• Coaches shall not solicit, recruit, or attempt to redirect any student or client acquired through the Posey Acting Academy platform to conduct business outside of the platform for a period of twelve (12) months following their last transaction on the platform.
• Coaches shall not provide students acquired through the platform with alternative booking links, personal payment methods (Venmo, PayPal, Zelle, Cash App, etc.), or any mechanism to bypass the platform's payment system.
• Coaches shall not encourage, suggest, or facilitate any arrangement with platform-acquired students that circumvents the Company's commission structure.
• This non-solicitation obligation applies to all students the coach interacts with through the platform, including those enrolled in the coach's classes, private sessions, workshops, and any other offerings listed on the platform.
• Coaches who pre-existed relationships with students prior to joining the platform may continue those relationships, but new students acquired through the platform are subject to these terms.

Violation of these terms will result in immediate termination of partner coach access, forfeiture of any pending earnings, and potential legal action for breach of contract. The Company reserves the right to pursue damages and injunctive relief to the fullest extent permitted by law.

Access to the Company's private training portal is granted only after:

• successful payment
• submission and verification of the required agreement

The Company reserves the right to revoke or restrict access at any time for violation of these Terms.

All participants agree to:

• behave respectfully toward instructors and other participants
• follow all instructions and safety guidelines
• maintain a professional environment

The Company reserves the right to remove any participant without refund for:

• disruptive behavior
• harassment
• unsafe conduct
• violation of policies

All materials provided by the Company, including but not limited to videos, scripts, recordings, curriculum, and training materials are the exclusive property of Posey Acting Academy Inc.

Participants may not copy, reproduce, distribute, share, or record any materials without prior written consent.

Classes and sessions may be recorded for educational or promotional purposes.

By participating, you acknowledge that recordings may occur as described in the Participation Agreement.

To the fullest extent permitted by law, Posey Acting Academy Inc. shall not be liable for any indirect damages, incidental damages, consequential damages, or loss of opportunity or income arising out of participation in any service or use of this website.

You agree to defend, indemnify, and hold harmless Posey Acting Academy Inc. from any claims, damages, liabilities, or expenses arising from your participation, your conduct, or your violation of these Terms.

Any dispute arising out of or relating to these Terms or any services provided shall be resolved through binding arbitration in Los Angeles County, California.

You waive the right to a jury trial and the right to participate in a class action.

These Terms shall be governed by the laws of the State of California.

The Company reserves the right to update or modify these Terms at any time.

Continued use of services constitutes acceptance of any changes.
